3. Our Services
TrueHistory provides the following services:
Biometric Time & Attendance
Fingerprint-based employee tracking, real-time monitoring, automated payroll integration, and comprehensive attendance reporting.
School Security System
Biometric parent verification, QR code access via mobile app, NFC student cards, and real-time pickup notifications.
Enterprise Management
Bank reconciliation, inventory management, multi-branch support, and comprehensive business analytics.
Support Services
Technical support, system maintenance, training, and ongoing customer assistance.
Service Availability
We strive to maintain 99.9% service uptime. However, we may temporarily suspend services for:
- Scheduled maintenance (with advance notice when possible)
- Emergency maintenance or security updates
- Circumstances beyond our reasonable control
4. Account Registration
4.1 Account Creation
To access certain features of our Services, you must create an account. When registering, you agree to:

7. Biometric Data Terms
Our Services involve the collection and processing of biometric data. By using these Services, you acknowledge and agree to the following:

Organizations using our biometric services are responsible for:
- Obtaining proper consent from employees, students, or other individuals
- Providing privacy notices explaining biometric data collection
- Complying with Nigeria Data Protection Act (NDPA) 2023 requirements
- Responding to individual data subject requests
8. Payment Terms
8.1 Subscription and Fees

Pricing: Service fees are as quoted at the time of purchase or as specified in your service agreement.

Payment schedule: Payments are due according to the billing cycle specified in your subscription.

Currency: All fees are quoted and payable in Nigerian Naira (NGN) unless otherwise specified.

8.2 Payment Methods

8.3 Late Payment

- Late payment fees may be applied (up to 5% of outstanding amount)
- We reserve the right to engage collection services for overdue accounts
8.4 Refunds
Refunds are handled on a case-by-case basis. Generally:

9. Intellectual Property

10.2 Exceptions
Confidentiality obligations do not apply to information that:

- Is independently developed without use of confidential information
- Is required to be disclosed by law or court order

- Our Services will meet all of your specific requirements
- The results obtained from using our Services will be accurate or reliable
12. Limitation of Liability
Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUEHISTORY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12.1 Exclusion of Damages
In no event shall we be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of procurement of substitute services
- Damages arising from unauthorized access to or alteration of your data
12.2 Exceptions
These limitations do not apply to:

- Liability for fraud or fraudulent misrepresentation
- Any liability that cannot be excluded under applicable law
13. Indemnification
You agree to indemnify, defend, and hold harmless TrueHistory and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

14. Termination

We may terminate or suspend your account immediately if:
- You breach any material provision of these Terms
- You fail to pay fees when due (after 14 days notice)
- We are required to do so by law
- We cease to offer the Services
14.3 Effect of Termination
Upon termination:

15. Governing Law and Disputes
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
15.2 Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved as follows:
Step 1
Negotiation
The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice.
Step 2
Mediation
If negotiation fails, the parties shall attempt mediation under the Lagos Multi-Door Courthouse (LMDC) rules before proceeding to litigation.
Step 3
Litigation
If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
16. Changes to These Terms
We may modify these Terms from time to time. When we make changes:

Notification: We will notify you of material changes via email or a notice on our website at least 30 days before the changes take effect.

Review period: You will have the opportunity to review the updated Terms before they become effective.
